Terms of Service

1. Eligibility

You must be at least 18 years old to use Forekala. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. Forekala is available to residents of the United States only.

2. Account Registration

To use Forekala, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep your account information updated.

Forekala currently operates in an invite-only mode. Access to the Service requires a valid invitation. We reserve the right to accept or decline any registration at our discretion.

You may not share your account credentials with others or create accounts on behalf of third parties without their authorization. If you believe your account has been compromised, notify us immediately at support@forekala.com.

3. Subscription and Payment

3.1 Plans

Forekala offers subscription plans that may include a free tier with limited features and paid tiers with access to the full feature set. Current pricing is displayed within the app and at forekala.com/pricing. We reserve the right to modify our pricing with advance notice to existing subscribers.

3.2 Billing

Paid subscriptions are billed on a recurring basis, either monthly or annually depending on the plan you select. By subscribing to a paid plan, you authorize Kaveotech to charge your payment method on a recurring basis until you cancel. All fees are stated in U.S. dollars and are exclusive of applicable taxes.

3.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your paid billing period. We do not provide prorated refunds for partial billing periods.

3.4 Refunds

All fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us at support@forekala.com within 30 days of the charge.

3.5 Free Trials

We may offer free trials of paid features from time to time. At the end of a free trial, your account will automatically convert to the applicable paid plan unless you cancel before the trial period ends.

4. Connected Financial Accounts

4.1 Plaid Integration

Forekala uses Plaid Technologies, Inc. to connect to your financial institutions and retrieve account and transaction data. By connecting a financial account, you agree to Plaid's End User Privacy Policy, available at https://plaid.com/legal/end-user-privacy-policy/. Your bank login credentials are entered directly into Plaid's secure interface and are never transmitted to or stored by Forekala.

4.2 Authorization

By connecting a financial account through Forekala, you authorize Kaveotech and Plaid to access, retrieve, and store your financial account data, including account balances and transaction history, for the purpose of providing the Service. You may revoke this authorization at any time by disconnecting the account within the Forekala app.

4.3 Data Accuracy

Forekala displays financial data as retrieved from your financial institutions via Plaid. We do not independently verify the accuracy of this data. We are not responsible for errors, omissions, or delays in financial data resulting from your financial institution or Plaid. Always verify important financial information directly with your financial institution.

4.4 Service Availability

Bank connectivity is dependent on Plaid's services and your financial institution's systems. We are not responsible for interruptions in connectivity caused by third parties, including Plaid or your bank.

5. No Financial Advice

Forekala is a budgeting and financial management tool. The content, insights, and information provided through the Service, including any AI-generated summaries or suggestions, are for informational and organizational purposes only. Nothing in the Service constitutes financial, investment, tax, or legal advice.

You should consult a qualified financial advisor before making any financial decisions. Kaveotech is not a registered investment advisor, broker-dealer, or financial planner and does not provide personalized financial advice.

6. Acceptable Use

You agree to use Forekala only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any fraudulent, deceptive, or illegal purpose
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or extract data from the Service through automated means
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Upload or transmit malware, viruses, or other harmful code
• Interfere with or disrupt the integrity or performance of the Service
• Share your account with others or allow unauthorized third-party access to the Service

We reserve the right to suspend or terminate accounts that violate these restrictions.

7. Intellectual Property

Forekala and all content, features, and functionality within it, including but not limited to the name, logo, design, text, graphics, and software, are owned by Kaveotech and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works of any part of the Service without our prior written consent.

Any feedback, suggestions, or ideas you submit to us may be used by Kaveotech without restriction or compensation to you.

8. User Content

You retain ownership of any content you create within Forekala, such as budget categories, notes, and goals. By using the Service, you grant Kaveotech a limited license to store and process this content solely for the purpose of providing the Service to you. We do not claim ownership of your content and will not use it for any purpose beyond operating and improving the Service.

9. Privacy

Your use of Forekala is also governed by our Privacy Policy, available at forekala.com/privacy. The Privacy Policy is incorporated into these Terms by reference. By using the Service, you agree to the data practices described in the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, KAVEOTECH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any financial data displayed through the Service.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KAVEOTECH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR FINANCIAL LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KAVEOTECH IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kaveotech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may terminate your account at any time by deleting your account through the app settings. Upon termination, your right to use the Service will immediately cease and your data will be deleted in accordance with our Privacy Policy.

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if we discontinue the Service. We will make reasonable efforts to notify you before terminating your account for cause.

Sections 5, 7, 10, 11, 12, 14, and 15 of these Terms survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law principles. Any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of such courts.

Before filing any legal claim, you agree to contact us at legal@kaveotech.com and provide us with a reasonable opportunity to resolve the dispute informally.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through an in-app notice at least 30 days before the changes take effect. The updated Terms will be posted at forekala.com/terms with the revised effective date. Your continued use of Forekala after the effective date constitutes your acceptance of the updated Terms.

16. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kaveotech regarding the Service and supersede any prior agreements.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
